General

PLEASE READ THESE TERMS OF SERVICE AND OUR PRIVACY POLICY CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS AS USERS, CLIENTS AND CONSUMERS.

By using the Corsizio web site and application (collectively, “Site”) and/or registration, payment and feedback services (collectively, “Service”), you are agreeing to be bound by the following terms and conditions (“Terms of Service”). Corsizio agrees to provide an online Service that automates online registrations, collection of payments and feedback between student or attendee (collectively, “Consumer(s)”) and teacher, instructor or organizer (collectively, “Client(s)”). Using our Service you will be able to create registration for classes, courses, workshops, seminars, sessions, transactions, reservations or other educational activities (collectively, “Event(s)”), or register with secure payment for such Events.

Corsizio reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. Violation of any of the terms below will result in the termination of your account with Corsizio.

Account Terms

To open an account with Corsizio and/or use our Service:

  • You must be 18 years of age or older, or have a legal parent/guardian register you to an Event.
  • You must be a human. Accounts registered by “bots” or other automated methods are not permitted.
  • You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup or registration process.
  • Your login may only be used by one person – a single login shared by multiple people is not permitted. You may create separate logins for as many people as your plan allows.
  • You are responsible for maintaining the security of your account and password. Corsizio cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
  • You are responsible for any payments required for a paid plan on your account, and/or registration to an Event.
  • You are responsible for all content, including your user name or account name, data, text, images, music, sound, photographs, graphics, video, messages, tags, or other materials (collectively, “Content”) posted and activity that occurs under your account (even when Content is posted by others who you have given access to your account).
  • You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
  • You must use the very latest version of a modern browser like: Chrome, Safari, Firefox, and/or Internet Explorer. Corsizio does not operate on older browsers, especially outdated versions of Internet Explorer.

Using Corsizio

To use Corsizio, including its Site and/or Service, you agree that you shall not, nor shall you allow any third party to:

  • Violate any laws, third party rights or our policies;
  • Use our Site or Service, if you are not able to form legally binding contracts, are under the age of 18, or are temporarily or indefinitely suspended from using our Site or Service;
  • Create Content and/or transmit information that infringes the rights of others or is abusive, pornographic, violent, racist, discriminatory, offensive, vulgar, obscene, defamatory, invasive of personal privacy, harassing, threatening, or otherwise objectionable;
  • Fail to deliver an Event as outlined to the Consumer who have registered for that Event, unless appropriate action is taken to re-schedule the Event or refund payments for the Event;
  • Circumvent or manipulate our fee structure, the billing process, or fees owed to Corsizio;
  • Post false, inaccurate, misleading, defamatory, or libelous content (including personal information);
  • Distribute, upload or post spam, unsolicited, or bulk electronic communications, chain letters, viruses or pyramid schemes or any other technologies that may harm Corsizio, or the interests or property of Corsizio users;
  • Copy, modify or distribute rights or content from the Site or Service, or Corsizio’s copyrights and trademarks;
  • Harvest or otherwise collect information about users, including email addresses, without their consent;
  • Translate, reverse-engineer, decompile, disassemble, modify, or make derivative works from the Service or Service software (except as applicable law expressly permits);
  • Take any action that imposes an unreasonable or large load on our infrastructure;
  • Use automated means, including spiders, robots, crawlers, data mining tools, scripts applications or the like to download or upload data from or to the Site or Service, or to access the Service in any form, unless expressly permitted by Corsizio;
  • Use the Service in a way that disables the Service or prevents or inhibits anyone from using the Service, or degrades the performance of the Service.

Consumer Protection

The Consumer and Client share the responsibility for making sure that registrations and payments facilitated by Corsizio are quick, easy and hassle-free. Clients are bound by the outlined here Terms of Service to deliver the Event to the registered Consumer as is within their reasonable means, or otherwise re-schedule or refund the Consumer as appropriate. Client Responsibilities

As a Corsizio Client, you are responsible for ensuring that you can fulfill all reservations, bookings, enrollments and purchases made through the Service and for communicating changes directly to your Consumers. You are responsible for managing availability for the online scheduling of appointments and reservations including settings for all of your account users, resources and services provided, bookable days and times for staff, resources and services provided, and lead times as may be appropriate to prevent double-bookings and other events which would adversely affect your Consumers and their experience with the Service. You are responsible for reviewing your online Events and registrations often and regularly. If you cannot honor any Event or registration made through the Service, you agree to promptly communicate such change to the relevant Consumers. You are responsible for handling Consumer inquiries professionally and promptly. You are responsible for honoring cancellation/reschedule requests according to your advertised policy.

Payments

Clients

Clients may use our Site and/or Service at no cost. Events that collect online payments using Corsizio are subject to a Corsizio Service fee and a Stripe Credit Card Processing fee, which are automatically deducted during the registration transaction (see pricing for full details).

Consumers

Consumers must provide valid credit card payment in order to be successfully registered to an Event. You must contact the Event organizer or teacher for any necessary refunds, which are issued through the Service by the Client.

Content

Corsizio may provide interactive areas on the Site for the purpose of the Service, in which users may post communications. You understand that all Content, whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, and not Corsizio, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the Corsizio Site or Service. Corsizio does not control (beyond the scope of theses Terms of Service) the Content posted via the Corsizio Site and Service, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Corsizio Site and/or Service, you may be exposed to Content that is objectionable or contradictory to your personal beliefs, philosophies and/or lifestyle choices. Under no circumstances will Corsizio be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content as made available via the Corsizio Site or Service.

Corsizio does not claim ownership of any Content submitted and/or posted by you on the Site or Service. However, by submitting and/or posting any Content to the Site or Service, you agree not to hold Corsizio liable for any copyright infringements regarding the Content. Corsizio does not require a royalty-free, perpetual, irrevocable, non-exclusive right and license to use any of your Content. You do however understand that any public Content is available to any user to access, display, view, store and reproduce for personal use.

Feedback

Between Client and Consumer

As part of the Service, a Client may request feedback about an Event or Event organizer from the Consumer who attended the Event. The Consumer is not obligated to provide such feedback unless so desired. In addition, a Client may provide feedback to a Consumer who attended one of their Events via Corsizio, with respect to their performance or progress. Any feedback exchanged between Client and Consumer is for the personal use of the Client and Consumer. Under no circumstances will Corsizio be liable in any way for any such feedback exchanges, including, but not limited to, any errors or omissions in any Content, or any loss or damage.

Between any user and Corsizio

By submitting ideas, suggestions, documents and/or proposals (collectively, "Feedback") to Corsizio through its suggestion, feedback, or similar pages, you agree that (i) your Feedback does not contain the confidential or proprietary information of third parties; (ii) Corsizio is not under any obligation of confidentiality, express or implied, with respect to the Feedback; (iii) Corsizio shall be entitled to use and disclose such Feedback for any purpose, in any way, worldwide; (iv) Corsizio may have something similar to the Feedback already under consideration or in development; and (v) you are not entitled to any compensation or reimbursement of any kind from Corsizio under any circumstances.

Disclaimer of Warranties

YOU EXPRESSLY AGREE THAT USE OF CORSIZIO IS AT YOUR SOLE RISK. CORSIZIO IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CORSIZIO AND ITS SUBSIDIARIES, AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. THE INFORMATION ON THE CORSIZIO SITE OR OTHERWISE BY CORSIZIO IS PROVIDED WITH THE UNDERSTANDING THAT NEITHER CORSIZIO NOR ITS MEMBERS, WHILE SUCH MEMBERS ARE PARTICIPATING IN CORSIZIO, ARE ENGAGED IN RENDERING LEGAL, MEDICAL, COUNSELING OR OTHER PROFESSIONAL SERVICES OR ADVICE. CORSIZIO ENCOURAGES YOU TO SEEK APPROPRIATE PROFESSIONAL ADVICE OR CARE FOR ANY SITUATION OR PROBLEM WHICH YOU MAY HAVE. IN PARTICULAR, THE EVENTS DESCRIBED AND PUBLISHED ON CORSIZIO CAN BE DANGEROUS AND MAY RESULT IN INJURY OR DEATH. IT IS YOUR RESPONSIBILITY TO CONSULT WITH A LICENSED PHYSICIAN AS APPROPRIATE BEFORE PARTICIPATING IN ANY OF THE EVENTS DESCRIBED ON CORSIZIO.

CORSIZIO MAKES NO WARRANTY THAT THE CORSIZIO SITE OR SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR FREE. CORSIZIO DOES NOT GUARANTEE THE ACCURACY OR COMPLETENESS OF ANY INFORMATION IN, OR PROVIDED IN CONNECTION WITH, THE CORSIZIO SITE. CORSIZIO IS NOT RESPONSIBLE FOR ANY ERRORS OR OMISSIONS, OR FOR THE RESULTS OBTAINED FROM THE USE OF SUCH INFORMATION. YOU UNDERSTAND AND AGREE THAT ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE CORSIZIO SITE OR SERVICE IS AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR OWN COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL AND/OR DATA.

Limitation of Liability

CORSIZIO, ITS SUBSIDIARIES, AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF CORSIZIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (A) THE USE OR THE INABILITY TO USE THE CORSIZIO SITE OR SERVICE; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE CORSIZIO SITE OR SERVICE; (C) USE BY YOU OF ANY EVENT OR ANY OTHER PRODUCT PURCHASED THROUGH CORSIZIO; (D) YOUR PARTICIPATION IN ANY PROMOTION OR PROGRAM COORDINATED BY CORSIZIO; (E) PERSONAL INJURY NOT CAUSED BY CORSIZIO’S GROSS NEGLIGENCE; (F) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (G) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE CORSIZIO SITE; OR (H) ANY OTHER MATTER RELATING TO THE CORSIZIO SITE OR SERVICE. YOU AGREE THAT CORSIZIO’S MAXIMUM LIABILITY TO YOU, FOR ANY REASON OR CAUSE WHATSOEVER, SHALL NOT EXCEED THE TOTAL AMOUNT OF MONIES RECEIVED BY CORSIZIO FROM YOU.

Indemnification

You agree to defend, indemnify and hold harmless Corsizio, its subsidiaries, and each of their affiliates, directors, officers, agents, partners, contractors, licensors, licensees and employees from any claim, demand, loss, liability or expense (including reasonable attorneys' fees), relating to or arising out of: your use of the Corsizio Site and/or Service; any other websites accessed from or affiliated with the Corsizio Site; your violation of these Terms of Service; Content you submit, post, transmit or otherwise make available through the Corsizio Site and/or Service; or any other infringement committed by you, or any other subscriber of your account, of any intellectual property or other right of any person or entity.

Termination and Corsizio Account Cancellation

Corsizio reserves the right, in its sole discretion, to immediately and without any prior notice to suspend or terminate (i) these Terms of Service; (ii) your registration with or ability to access the Corsizio Site and/or any Service provided to you by Corsizio upon; (a) any breach by you of these Terms of Service or upon your demonstration of conduct that Corsizio determines to be inappropriate; (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) discontinuance or material modification to the Corsizio Site and/or Corsizio Service (or any part thereof), (e) unexpected technical or security issues or problems, (f) extended periods of inactivity, (g) engagement by you in fraudulent or illegal activities, and/or (h) nonpayment of any fees owed by you in connection with the Service. Where your account or registration with Corsizio is terminated, you may be required to forfeit any credits, pre-paid fees, and any other amounts collected by Corsizio as part of your use and registration to the Corsizio Site. Corsizio shall not be required to refund, redeem or pay any such amounts to you, and you shall remain liable to Corsizio for any charges, fees, commitments, and obligations incurred by you prior to such termination. All records, information, messages, content and other information related to your registration and account may also be deleted by Corsizio in its sole discretion without any notice or liability to you. Corsizio shall not be liable to you or any third party for any termination of your account, any associated account related or identifying information, or access to the Corsizio Site and/or Service.

Account Cancellation

Any Client may cancel their Corsizio account at anytime, by using the “delete account” function within the application, which will flag the account for deletion. Corsizio will provide a 30 day account suspension period, during which time the Client may re-gain access to their account with an appropriate written request to Corsizio. After the 30 day period the account and all user data will be permanently deleted.

Applicable Law; Consent to Jurisdiction; Timing of Claims

These Terms of Service will be interpreted in accordance with the laws of the province of Ontario and Canada, without regard to its conflict-of-law provisions. You and Corsizio both benefit from establishing a predictable legal environment in regard to the Service. Therefore, you and Corsizio explicitly agree that all disputes, claims or other matters arising from or relating to your use of the Site, the Content, or the Service will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, excluding its conflict of laws, rules and all private international laws.

You further agree that despite being available from a variety of jurisdictions, the Service (including access to the Corsizio Site) will be deemed solely based in the Province of Ontario, Canada; and that the Service (including access to the Corsizio Site) shall be deemed to be passive in nature and not giving rise to personal jurisdiction over Corsizio in jurisdictions other than the Province of Ontario. You consent and submit to the exclusive jurisdiction of the Courts located in the Province of Ontario in all disputes arising out of or relating to your use of or inability to use the Service and the Terms or Service. However, you agree that nothing herein precludes Corsizio’s application for injunctive remedies or other urgent legal relief in any jurisdiction. You agree that any claim or cause of action you may have arising from, connected with, or relating to these Terms of Service or the Service must be commenced in a court of competent jurisdiction in the Province of Ontario within six (6) months after the claim or cause of action arises, after which time the claim or cause of action is forever barred.

If you choose to access the Site or Service from locations other than Ontario, you will be responsible for compliance with all local laws of such other jurisdictions and you agree to indemnify Corsizio for your failure to comply with any such laws.

Miscellaneous

Corsizio reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, these Terms of Service, the Corsizio Site and/or Service (or any part thereof) with or without notice. Corsizio shall not be liable to you or to any third party for any modification, suspension or discontinuance. The failure of either party to insist upon or enforce strict performance by the other party of any provision of the Terms of Service or to exercise any right under the Terms of Service will not be construed as a waiver or relinquishment to any extent of such party's right to assert or rely upon any such provision or right in that or any other instance, rather, the same will be and remain in full force and effect. Corsizio may assign its rights and obligations under these Terms of Service and upon such assignment Corsizio may be relieved of any further obligation hereunder.

You represent to Corsizio that you have the authority to register with Corsizio according to these Terms of Service. The failure of Corsizio to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms of Services remain in full force and effect. The section titles in these Terms of Service are for convenience only and have no legal or contractual effect. Corsizio may provide you with notices, including those regarding changes to these Terms of Service, by email, or postings on the Corsizio Site. There are no third-party beneficiaries to these Terms of Service.
